ADAM J. GRAIS
is a transactional tax attorney. He assists businesses and their
owners in solving tax problems and structuring transactions.
He
has developed his practice in different environments over the
past 15 years beginning in the tax department of Skadden Arps,
then serving as in-house counsel to the financial group of the
Pritzker family and finally returning to private practice at
Sugar & Felsenthal LLP. During his career he has been involved
in mergers and acquisitions, joint ventures, business formations,
capital raises, and employee and executive compensation matters
involving partnerships, limited liability companies, corporations,
REITs and trusts.
Although
his primary focus is in the federal income tax area, his six
years working in a family office environment exposed him to
many different aspects of non-tax legal practice including corporate
compliance, employee compensation issues, partnership debt restructurings
and entertainment deals. He continues to represent Pritzker
family interests and certain of their family offices on these
and many other issues.
Since
returning to private practice, his work has remained diverse,
although more tax-focused. His tax practice has included serving
as a consulting expert witness in complex tax shelter cases
for both plaintiffs and defendants, representing clients in
tax disputes before the Internal Revenue Service, assisting
clients in addressing the tax issues related to loan workouts,
assisting clients in structuring compensation plans including
stock option plans and deferred compensation plans, negotiating
executive compensation packages, and teaming with other attorneys
in addressing income tax issues in estate plans. He has also
assisted negotiating business buy-out transactions and helped
entrepreneurs set up and finance their businesses (including
private placements).
Adam
graduated from Columbia University, magna cum laude, with a
B.A. in history and he received his J.D. from the University
of Chicago.
Prior
to practicing law, Mr. Grais worked as a drummer and music teacher
in San Francisco and Chicago. He continues to be involved in
music as a member of the Chicago Bar Association Barristers
Big Band, which performs regularly in the Chicago area.
