- Developing
capital structures for and organizing corporations, partnerships,
limited liability companies and other business entities.
- Preparing
documents for the acquisition of real estate, negotiating the
terms of permanent and construction financing, negotiating construction
contracts and drafting and negotiating the documents for the sale
or leasing of real estate development projects. We have also represented
purchasers, sellers, lenders, borrowers, developers, landlords
and tenants in all other aspects of real estate acquisition, disposition,
financing, development, and leasing.
- Handling
all aspects of low-income housing tax credit projects and other
government subsidized housing ventures, including negotiating
tax credit partnership agreements, providing tax structuring,
reviewing loan documents, and negotiating the real estate acquisition.
- Advising
broker-dealers, investment advisors, professional traders and
hedge fund managers on a broad array of securities regulation
and compliance issues, as well as in connection with transactions
and regulatory inspections and investigations.
- Structuring
private equity funds and transactions.
- Preparing
disclosure documents for both private and publicly held entities,
including registration statements, private offering materials,
proxy statements, and related filings for the Securities and Exchange
Commission and state securities commissions.
- Providing
advice on federal and state income tax issues. We handle many
diverse and complex transactions in which our tax capabilities
play an integral role.
- Handling
mergers, acquisitions and divestitures that involve both public
and privately-held entities. These include acquisitions and dispositions
of assets, stock sales and exchanges, acquisitions and dispositions
of partnership interests and other similar transactions.
